There are a lot of reasons this can fail, so you need to be very specific about the steps you are taking. Also, if you could log PHP errors and provide any, that would be helpful. Either the install process should be logging errors to core/cache/logs/install.{timestamp} or PHP should be logging to the error_log file defined in php.ini. With Apache this would by default be Apache’s error_log; not sure with litespeed.
Also, if you downloaded beta 4 immediately after it was announced, try downloading the package again now (see
http://modxcms.com/forums/index.php/topic,41221.0.html for more info).
