I am having a hard time with this. Mostly because this is the first time I have done it.
I am not able to do an upgrade, only a new install. Which makes me nervous. I've done some work to harden my site, by putting the core above the root, which I think may be causing the issue.
Bit of a noob, of course.
any help is greatly appreciated.

Don't let setup do a new install. It will wipe out your site's content.
If you've moved or renamed directories, you'll have to unzip the MODX files somewhere and then copy each directory's files to the proper place.
The reason it wants to do a new install is that it's not finding the core/config/config.inc.php file. There are four config.core.php files that tell MODX where the core is. they are in the root, manager, connectors, and setup directories. Make sure all four are correct and that the values in the core/config/config.inc.php file are correct before running Setup.
Yes, you definitely *do* want to overwrite things, except the files I mentioned above.
The best method is to create a .zip file locally for each directory, upload it to the appropriate directory on the server, and unzip it there using the cPanel utility.
There's really no point in showing me the structure as long as it's working.

There has got to be an easier way of upgrading. I now have two core folders as a result of hardening my site and moving the core above the root previous to attempting this upgrade.
My site is not all that complicated, but this is a little confusing.

I'm glad you got it sorted.
Just for anyone else who might be going through this, here is what I did:
I work with Dreamweaver and Mac OS
Backup everything, so that you can reset if anything goes awry.
With hardening my site's security, the core is above the root.
I unzipped everything in the site folder.
With the Finder, I copied and replaced core.config.php, index.php, and the folders setup, manager, and connectors. I also replaced the core above root.
Then, before I uploaded all that to my server, I reset all 4 config.core.php files so that they point to the right place. I also rewrote line 39 of index.php to point to the core as well.
Uploaded all that.
Then run setup.
My problem was with having the core above the root. But since it is "good practice" to have the core there, perhaps in the future there will be an easier method of upgrading.
